1. These Terms
These terms govern the supply of sales leads by [Registered Company Name] trading as BluePeak Leads (“we”, “us”) to the installation business purchasing them (“you”, “the Installer”). By submitting a partner enquiry, funding an account or accepting a Lead, you agree to these terms.
This is a business-to-business agreement. You confirm you are acting in the course of a trade or business, and consumer cancellation rights do not apply.
2. Definitions
- Lead — the contact and project details of a UK homeowner who has submitted an enquiry through our qualification process and has consented to be contacted by one installer.
- Exclusive — supplied to you and to no other installer.
- Territory — the postcodes, counties or regions agreed in writing with you.
- Credit — prepaid funds held on your account against which Leads are drawn.
3. Our Service
We market to homeowners, qualify enquiries through a multi-step form, and supply the resulting Leads to you on an exclusive, pay-per-lead basis within your agreed Territory and niche. Each Lead is supplied to a single installer and is never resold.
We do not guarantee any minimum volume of Leads unless expressly agreed in writing, and volumes may fluctuate with seasonality, advertising costs and market demand.
4. Account, Credit and Payment
Leads are supplied on a prepaid basis. You fund your account in advance and the applicable price per Lead is drawn down from your Credit as each Lead is delivered. Prices are agreed in writing before supply commences and may be varied on 14 days' written notice.
All prices are exclusive of VAT, which is charged at the prevailing rate where applicable. Credit is non-transferable, may not be used by any other business, and expires 12 months after purchase if unused. Unused Credit is refundable at our discretion, less any costs already incurred on your behalf.
5. Lead Validity and Replacement
We will replace a Lead with account Credit where it is reported to us within 48 hours of delivery and falls into one of the following categories:
- The telephone number supplied is invalid, disconnected or demonstrably incorrect;
- The contact is a tenant and not the homeowner, or otherwise lacks authority to commission the work;
- The property lies outside your agreed Territory;
- The enquiry is a duplicate of a Lead already supplied to you;
- The contact details are materially falsified or the enquiry is plainly fraudulent.
Replacements are issued as Credit only; no cash refunds are given for supplied Leads. Claims made after 48 hours will not be accepted. The following are not grounds for replacement: the homeowner does not answer or respond to your contact attempts; the homeowner chooses another contractor or postpones the project; you are unable to agree a price; or your quotation exceeds the homeowner's stated budget.

6. Your Obligations
- Contact each Lead promptly — we recommend within one working hour — and make at least three reasonable contact attempts before treating a Lead as unresponsive;
- Hold and maintain all necessary qualifications, competence, licences and public liability insurance for the work you undertake;
- Carry out all work in compliance with applicable Building Regulations, industry standards including BS 5385-1 where relevant, and all applicable law;
- Contract directly with the homeowner. We are not party to that contract and take no role in pricing, specification, workmanship, warranties or dispute resolution;
- Not resell, share, transfer or add any Lead's data to a shared database, marketing list or third-party platform;
- Comply with UK GDPR and the Privacy and Electronic Communications Regulations when contacting and marketing to any Lead.
7. No Guarantee of Outcome
A Lead is an enquiry, not a confirmed sale. Conversion depends on your response time, pricing, sales process and workmanship, all of which are outside our control. We make no representation or warranty as to the revenue, conversion rate or return on investment you will achieve.
8. Data Protection
Each party acts as an independent controller in respect of Lead data. From the point a Lead is supplied, you are solely responsible for your own compliance with data protection law, including providing your own privacy information to the homeowner and honouring their rights. Our handling of personal data is described in our Privacy Policy.
9. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be limited.
Subject to that, we are not liable for loss of profit, loss of business, loss of anticipated savings, loss of goodwill or any indirect or consequential loss. Our total aggregate liability arising out of or in connection with these terms is limited to the total fees you paid to us in the three months immediately preceding the event giving rise to the claim.
10. Confidentiality
Each party will keep confidential the other's pricing, commercial terms, campaign methodology and business information, and will not disclose it except to those who need to know it for the purposes of this agreement, or as required by law.
11. Suspension and Termination
Either party may terminate on 14 days' written notice. We may suspend or terminate supply immediately, without refund of Credit, where you breach these terms, misuse Lead data, damage our reputation with homeowners, or where we reasonably suspect fraudulent activity. Clauses that by their nature should survive termination will do so.
12. General
We may update these terms from time to time; the version in force is the one published here at the time a Lead is supplied. Neither party is liable for failure caused by events beyond its reasonable control. If any provision is found unenforceable, the remainder continues in force. No third party may enforce these terms under the Contracts (Rights of Third Parties) Act 1999.
13. Governing Law
These terms and any dispute arising from them are governed by the laws of England and Wales, and both parties submit to the exclusive jurisdiction of the courts of England and Wales.
